Agreement to Terms

By downloading, installing, or using any Satoshi Ltd. application or service, you agree to be bound by these Terms of Service. If you don't agree with these terms, please don't use our applications.

These terms apply to all our applications including Clonara, Split/Pass, Money, Nutriva, and any future applications we develop.

Our Philosophy & Your Rights

Unlike traditional software companies, we operate under cypherpunk principles that prioritize your rights:

• Your Data Belongs to You: We never claim ownership of any data you create or store in our applications
• No Surveillance: We cannot and do not monitor your usage of our applications
• Local Processing: All application functionality runs on your device, not our servers
• Open Source: Our code is open for audit and verification

License to Use

We grant you a personal, non-exclusive, non-transferable license to use our applications on your devices for their intended purposes, subject to these terms.

What You Can Do:

• Install and use our applications on your personal devices
• Create backups of your data for personal use
• Share our applications with others (we encourage this!)
• Audit our open source code
• Modify the applications for personal use (where licenses permit)

What You Cannot Do:

• Redistribute modified versions without proper attribution
• Use our applications for illegal activities
• Attempt to extract or reverse engineer proprietary components
• Use our applications to harm others or violate their privacy
• Claim ownership of our trademarks or copyrighted material

User Responsibilities

While we build tools for digital sovereignty, with freedom comes responsibility:

Legal Compliance

You are responsible for ensuring your use of our applications complies with applicable laws in your jurisdiction. This includes but is not limited to:

• Encryption laws and regulations
• Financial record-keeping requirements
• Data protection and privacy laws
• Import/export restrictions on cryptographic software

Security Best Practices

Our applications are designed with security in mind, but you must also:

• Keep your devices secure and updated
• Use strong passwords and authentication methods
• Safely store any backup keys or recovery phrases
• Report security vulnerabilities to us responsibly

No Warranties

Our applications are provided "AS-IS" without warranties of any kind, either express or implied. We disclaim all warranties including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free operation
• Compatibility with all devices and systems
• Data accuracy or completeness

While we strive for excellence in our applications, no software is perfect. Use our applications at your own risk and always maintain proper backups.

Limitation of Liability

To the maximum extent permitted by law, Satoshi Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of data or information
• Loss of profits or business opportunities
• Device damage or system failures
• Third-party claims or actions
• Any other damages arising from use of our applications

Our total liability to you for any damages shall not exceed the amount you paid for our applications (which is typically zero, as most of our apps are free).

Privacy and Data

These terms work in conjunction with our Privacy Policy, which details our zero-data collection practices:

• We cannot access your personal data because it never leaves your device
• You retain full ownership and control of all your data
• We have no obligation to provide data recovery services (because we don't have your data)
• You are responsible for backing up your own data

Open Source and Modifications

Our applications contain open source components licensed under various terms:

Third-Party Components

You may terminate this agreement at any time by simply uninstalling our applications. Your data remains yours, and we have no claims to it.

We may terminate or suspend your license if you violate these terms. However, since our applications work locally, this primarily affects:

• Future downloads or updates
• Customer support services
• Access to any online components (if applicable)

Governing Law

These terms are governed by the laws of Hong Kong Special Administrative Region, without regard to conflict of law principles.

Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

International Use

Our applications may be subject to export controls and import restrictions in various countries:

• Some countries restrict the use of encryption software
• Financial applications may be regulated in certain jurisdictions
• You are responsible for compliance with local laws
• We make no representation that our applications are appropriate for use in all locations

Changes to Terms

We may modify these terms from time to time to reflect:

• Clarifications based on user feedback

Material changes will be posted on our website with at least 30 days notice. Continued use of our applications after changes take effect constitutes acceptance of the new terms.
